1. Introduction

These Terms of Service ('Terms') govern the relationship between Nordaurai Oy ('Nordaurai', 'we', 'us', or 'our') and any organisation or individual ('Client', 'you') that engages our gamified wellbeing programs, sessions, or services.

Nordaurai Oy is a Finnish company registered under Business ID 3528707-2, headquartered in Helsinki, Finland. By engaging our services, you agree to be bound by these Terms in their entirety.

These Terms are governed by Finnish law and applicable European Union regulations.

2. Our Services

Nordaurai provides science-based, gamified organisational wellbeing programs grounded in the PERMA framework of positive psychology. Our services include:

•       Gamified wellbeing workshop sessions using original board and card games

•       Gamified organisational wellbeing and engagement programs

•       Gamified Leadership development sessions

•       Pre and post wellbeing assessment surveys

•       Wellbeing days and bespoke gamified events

All services are delivered by qualified wellbeing professionals and trained facilitators appointed by Nordaurai.

2.1. Important Disclaimer, Wellbeing, Not Therapy

Nordaurai is a gamified wellbeing and organisational development company. We are not a medical provider, mental health clinic, or therapy service.

Our gamified programs and board games are designed to support team wellbeing, engagement through positive psychology they do not constitute medical advice, psychological treatment, or therapeutic intervention of any kind.

Our facilitators are qualified psychologists and certified wellbeing coaches, trained specifically in the Nordaurai methodology. They facilitate structured, science-based wellbeing experiences, they do not provide individual therapy, diagnosis, or clinical treatment during or after sessions.

Participation in all Nordaurai sessions is fully voluntary. It is always the participant's choice whether to engage, share, or contribute during any game or activity. No participant is ever pressured or required to disclose personal information.

Prior to every session, each participant receives and signs a consent form covering data collection, voluntary participation, and confidentiality. For full details on how participant data is handled, please refer to our Privacy Policy at nordaurai.com/privacy-policy.

If any participant requires professional mental health support beyond the scope of our programs, we encourage them to seek qualified clinical assistance.

3. Intellectual Property

All intellectual property created, developed, or owned by Nordaurai including but not limited to our 14 original wellbeing board games, card games, game mechanics, facilitation methodologies, session structures, survey instruments, program frameworks, branding, and content is and remains the exclusive property of Nordaurai Oy.

By engaging our services, the Client/Collaborator acknowledges and agrees that:

•       No intellectual property rights are transferred to the Client under any engagement or agreement

•       The Client may not reproduce, copy, distribute, adapt, or create derivative works based on any Nordaurai game, tool, methodology, or content

•       The Client may not share, sublicense, or make available Nordaurai's materials to any third party without prior written consent from Nordaurai

•       Participants in Nordaurai sessions may not replicate, record, or reproduce game content or mechanics for personal or commercial use

Any breach of Nordaurai's intellectual property rights may result in legal action. Nordaurai reserves the right to seek damages and injunctive relief in such cases.

4. Non-Disclosure Agreements (NDA)

Any engagement involving Nordaurai's intellectual property, proprietary game content, client data, participant data, organisational information, or any sensitive commercial information requires the signing of a Non-Disclosure Agreement (NDA) prior to the commencement of any work or service.

This applies to:

•       Partner organisations and collaborators

•       Technology providers and subcontractors

•       Co-developers and creative collaborators

•       Any third party with access to Nordaurai IP or client data

No sensitive information, intellectual property, or client data will be shared with any party that has not signed an NDA. Proceeding without a signed NDA constitutes a contractual breach.

Breach of a signed NDA will result in immediate legal action. Nordaurai reserves the right to pursue all available legal remedies, including financial damages and court proceedings under Finnish law.

5. Payment Terms

Payment terms for each engagement are specified individually in the invoice issued by Nordaurai. The applicable payment terms are stated clearly on each invoice and form part of the agreement between Nordaurai and the Client.

General payment conditions:

•       Invoices are issued in advance of or following program delivery, as agreed in writing

•       The Client is responsible for payment within the timeframe specified on the invoice

•       All prices are quoted in Euros (EUR) unless otherwise agreed in writing

•       Prices are exclusive of VAT unless otherwise stated; applicable VAT will be added in accordance with Finnish tax law

Late Payment:

Any payment that exceeds 5 calendar days from the due date specified on the invoice will incur an administration fee. This fee will be calculated and invoiced separately to the Client. Nordaurai reserves the right to suspend services in the event of outstanding payments.

6. Working Days and Special Session Fees

Nordaurai's standard working days are Monday to Friday.

Any gamified wellbeing workshop, wellbeing day, or session specifically requested and confirmed to take place on:

•       Finnish public holidays

•       Sundays

•       Finnish summer holiday period (as defined by Finnish working life conventions)

will be subject to an additional fee. This fee is calculated in accordance with Finnish working life regulations and applicable collective agreement standards. The additional fee will be clearly stated in the invoice or quotation provided to the Client.

Nordaurai will always inform the Client of any additional fees before confirming a booking on these days.

7. Changes to Agreed Services

Any changes to agreed program content, session dates, participant numbers, delivery format, or scope of services must be:

•       Requested in writing by the Client

•       Confirmed in writing by Nordaurai

Verbal agreements or informal requests will not be considered binding. Changes take effect only upon written confirmation from both parties. Nordaurai reserves the right to adjust pricing in the event of material changes to the agreed scope of work.

8. Cancellation and Refund Policy

Nordaurai understands that circumstances change. Our cancellation policy is designed to be fair to both parties while protecting the logistical and financial commitments Nordaurai makes in preparing for each session, including the arrangement and payment of facilitators.

8.1 Cancellation by the Client

•       Cancellation more than 7 calendar days before the agreed session date: Full refund issued

•       Cancellation between 2 and 7 calendar days before the agreed session date: 50% refund issued

•       Cancellation less than 48 hours (2 days) before the agreed session date: No refund

All cancellation requests must be submitted in writing to angela@nordaurai.com. The cancellation date is the date Nordaurai receives the written notification.

8.2 Postponement by the Client

One (1) postponement per booking is permitted without additional charge, provided the postponement request is received in writing at least 7 calendar days before the agreed session date.

Postponed sessions must be rescheduled within a mutually agreed timeframe. Additional postponements may be subject to an administration fee.

8.3 Cancellation by Nordaurai

In the event that Nordaurai must cancel a confirmed session due to the illness, injury, or personal crisis of the assigned facilitator, Nordaurai will:

•       Notify the Client as early as possible in writing

•       Provide a replacement qualified facilitator where possible, at no additional cost to the Client

•       Where a replacement is not possible, issue a full refund of any amounts paid for the cancelled session, OR

•       Provide one complimentary gamified wellbeing workshop session of equivalent value as compensation

Nordaurai will always act in good faith and in the best interests of the Client in such circumstances.

9. Force Majeure

Neither party shall be held liable for any failure or delay in performance of their obligations under these Terms where such failure or delay results from circumstances beyond their reasonable control, including but not limited to:

•       Acts of God, natural disasters, or extreme weather events

•       Pandemics, epidemics, or public health emergencies

•       War, civil unrest, or acts of terrorism

•       Government-imposed restrictions or regulatory changes

•       Widespread infrastructure or technology failures

In the event of a force majeure situation, the affected party shall notify the other party in writing as soon as reasonably possible. Both parties shall make reasonable efforts to reschedule or find an alternative solution. If the force majeure situation persists for more than 30 days, either party may terminate the affected engagement in writing without financial penalty.

10. Services Purchased by Nordaurai

In cases where Nordaurai engages external service providers, subcontractors, developers, designers, or consultants to support our operations, the following conditions apply:

Nordaurai has the right to raise a formal complaint, dispute an invoice, or withhold payment where the delivered service:

•       Does not meet the agreed specifications or brief

•       Is of unsatisfactory quality

•       Has caused material damage to Nordaurai's business, reputation, or intellectual property

In such cases, Nordaurai reserves the right to:

•       Issue a formal written complaint to the service provider

•       Request remediation or revision of the work at no additional cost

•       Escalate the matter to relevant consumer or business protection authorities within the European Union

•       Seek compensation through applicable Finnish law or EU consumer protection regulations

All service providers engaged by Nordaurai are required to sign an NDA before commencing any work involving Nordaurai's intellectual property, client data, or sensitive business information. Breach of this requirement will be treated as a serious contractual violation.

11. Limitation of Liability

To the fullest extent permitted by applicable law, Nordaurai's liability to the Client for any claim arising out of or in connection with our services shall not exceed the total fees paid by the Client for the specific program or session giving rise to the claim.

Nordaurai shall not be liable for:

•       Indirect, incidental, or consequential losses

•       Loss of revenue, profit, or business opportunity

•       Outcomes of gamified wellbeing programs that do not meet subjective expectations where services have been delivered as agreed

12. Governing Law and Jurisdiction

These Terms of Service are governed by and construed in accordance with the laws of Finland.

Any dispute arising out of or in connection with these Terms that cannot be resolved amicably between the parties shall be submitted to the exclusive jurisdiction of the Finnish courts, with the District Court of Helsinki (Helsingin käräjäoikeus) as the court of first instance.

For international clients, Nordaurai acknowledges applicable EU regulations and international commercial conventions where relevant. However, Finnish law remains the governing law in all cases.

13. Changes to These Terms

Nordaurai reserves the right to update these Terms of Service at any time. Updated Terms will be published on our website with a revised date. Continued engagement with Nordaurai's services following any update constitutes acceptance of the revised Terms.

For existing contracts, changes to Terms will not apply retroactively without the written agreement of both parties.
